OFFER TO SELL AND TRANSFER AN INDIVIDUAL ELECTRONIC COMMUNICATIONS SERVICES (I-ECS) LICENCE TO BROADBAND INFRACO SOC LIMITED

OBJECTIVE:

Broadband Infraco deploys, operates and maintains a 15 000 km national long-distance fibre backhaul network throughout the country. The Company is also a founding member and investor in the West African Cable System (“WACS”).

The registration and granting of electronic communications licences in South Africa is performed by ICASA under the Electronic Communications Act of 2005 (“the ECA”). There are two main categories of service licence available under the ECA:

Electronic Communications Network Service (ECNS) licenses: these licenses authorise the holder to roll-out and operate a physical network. This network can be made up of any technology you choose, radio equipment (for a wireless network), copper cabling, fibre optic cabling etc. ECNS licensees can also enter into commercial arrangements with other licensees to allow them to use the electronic communications network owned and operated by the ECNS licensee.

Electronic Communications Service (ECS) licenses: these licenses allow you to provide services to customers over your own or somebody else’s network. This will typically be the licence held by an ISP which does not operate its own network or network facilities.

On the 19th of October 2009, ICASA granted and issued Broadband Infraco with an Individual Electronic Communications Network Services (“I-ECNS”) licence. However, Broadband Infraco’s statutory mandate is:

To expand the availability and affordability of access to electronic communications, including but not limited to underdeveloped and under-serviced areas in accordance with the Electronic Communications Act and commensurate with international best practice and pricing, through the provision of:
(a) electronic communications network services; and
(b) electronic communications services.

To fulfil its statutory mandate, Broadband Infraco requires an Individual Electronic Communications Services (“I-ECS”) licence.
Broadband Infraco hereby requests any entities holding a valid, unencumbered I-ECS licence that is in good-standing with ICASA, to contact it regarding the sale and transfer of such a licence.
